Welcome to LiveWisdom. Please read these Terms of Use carefully. They govern your access to and use of our website(s), products, services, applications, content, software, and AI-generated historical figure avatar experiences, including any text, audio, image, video, conversational, or interactive outputs we make available (collectively, the “Services”).

These Terms of Use (the “Terms”) govern your access to and use of the Live Wisdom website, web application, software, content, features, subscriptions, and related services, including real-time interactive video, audio, and text experiences with AI-generated avatars of historical figures, and any learning environment, course, or educational interface made available through the platform (collectively, the “Services”).

The Services are provided by LiveWisdom Ltd, (Company Registration Number:16916289), a company registered in England and Wales, with its address at Woodbine Cottage, Harefield, UB9 6LU, England, UK (“Live Wisdom”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms incorporate any additional policies or documents we make available, including our Privacy Policy, any community or platform rules, and any additional terms that apply to particular features, subscriptions, promotions, or content (together, “Additional Terms”). If Additional Terms apply, they form part of these Terms.

1. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Services, applicable law, or our business practices. If we make material changes, we may provide notice by posting the updated Terms on our website, by email, or through the Services.

If you do not agree to the revised Terms, you must stop using the Services. Your continued use of the Services after the revised Terms become effective means you accept them.

Except as expressly provided here, no amendment to these Terms will be effective unless in writing and signed by both you and LiveWisdom.

2. Privacy

We take privacy seriously. Please review our Privacy Policy to understand how we collect, use, store, and disclose information.

3. Eligibility

You must be at least 16 years old to create an account or use the Services. If you are between 16 and 18, your parent or legal guardian must review and agree to these Terms and supervise your use. We do not offer self-serve accounts to users under 16. Under-16 access may be available in future through institutional or parent-approved arrangements. We do not collect date of birth.

You must provide accurate account information, keep your credentials confidential, and not share or transfer your account without our written consent. We may refuse, suspend, or close accounts where account information is inaccurate, security is compromised, or the account is used in breach of these Terms.

We may take age-assurance, access-control, and other safety measures where appropriate. We may also restrict, suspend, or terminate accounts that do not satisfy applicable age requirements.

4. Accounts

You may need to register for an account and provide certain information, such as your name, email address, payment details, or other account information. You agree to provide accurate, complete, and current information and to keep it updated.

You may not:

  • choose a username you do not have the right to use;
  • choose a username intended to impersonate another person or entity;
  • share your account credentials with others; or
  • transfer your account without our prior written consent.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account.

If you believe any content on the Services infringes your copyright or other rights, send a notice to [email protected] with sufficient information for us to evaluate the claim, including: party as permitted by the relevant third party and your settings with them.

If you accept these Terms on behalf of a company, school, institution, or other entity, you represent and warrant that you are authorized to bind that entity.

5. Nature of the Services

LiveWisdom creates and provides AI-generated simulations, interpretations, and interactive experiences based on historical figures.

You acknowledge and agree that:

5.1 Simulated historical personas.
The Services may generate content that simulates the voice, style, mannerisms, beliefs, opinions, perspective, or conversational behavior of a historical figure. Such content is synthetic and generated by software systems using source materials, design choices, editorial judgment, and machine-learning processes.

5.2 Not authentic statements.
Outputs are not actual recordings, writings, statements, endorsements, or authenticated views of the historical figure depicted unless expressly identified by us as a direct quotation from a source.

5.3 Interpretation and dramatization.
Outputs may involve paraphrase, reconstruction, dramatization, simplification, extrapolation, or creative interpretation. They may be incomplete, inaccurate, contested, biased, anachronistic, fictionalized in part, or unsuitable for your intended purpose.

5.4 No endorsement or affiliation.
Nothing in the Services implies endorsement by, affiliation with, or authorization from any depicted person, descendant, estate, foundation, archive, museum, institution, or rights holder unless we expressly say so.

5.5 Historical and educational use only.
The Services are designed for educational, informational, cultural, research, or entertainment purposes. They are not intended to substitute for primary-source historical research, academic verification, legal advice, medical advice, therapy, investment advice, or other professional advice.

5.6 Independent verification required.
You are solely responsible for independently reviewing and verifying any Output before relying on it, publishing it, sharing it, or using it in teaching, research, media, marketing, or decision-making.

5.7 No living-person cloning.
The Services are not intended to create, replicate, simulate, impersonate, or clone living individuals. You may not use the Services to request, create, train, generate, distribute, or commercialize avatars or outputs that depict, imitate, or purport to be a living person unless we have expressly authorized that use in writing and all rights, permissions, and legal requirements have been satisfied.

5.8 No deceptive synthetic media.
You may not present any avatar or Output as real, authentic, verified, or documentary evidence where it is not.

The Services are not a substitute for primary-source research, academic verification, legal advice, medical advice, financial advice, or other professional advice.

6. Communications

By creating an account or using the Services, you consent to receive service-related communications from us, including account notices, transactional messages, security alerts, technical notices, and updates.

If you separately opt in to receive marketing communications, you may opt out as described in those communications.

You represent and warrant that any contact information you provide is accurate and that you are authorized to provide it.

7. Fees, Paid Services, Billing, and Auto-Renewal

Certain Services may be free, and certain Services may require payment (the “Paid Services”). If you purchase Paid Services, you agree to pay all applicable fees, taxes, and charges.

7.1 Pricing

Pricing for Paid Services will be provided at the time of purchase or on the applicable pricing page. Please see our Pricing Page for a description of the current Paid Services. Please note that any payment terms presented to you in the process of using or signing up for a Paid Service are deemed part of these Terms.

7.2 Payment Processor

Notwithstanding any financial obligations incumbent upon you to LiveWisdom, it is pertinent to note that LiveWisdom DOES NOT DIRECTLY FACILITATE PAYMENT FOR ANY SERVICES. We use a third-party payment processor (the "Payment Processor") to bill you through a payment account linked to your account on the Services (your "Billing Account") for use of the Paid Services. The processing of payments will be subject to the terms, conditions and privacy policies of the Payment Processor in addition to these Terms. Currently, we use Stripe, Inc. as our Payment Processor. The payment processing services rendered by Stripe are governed by the Stripe service agreements and ancillary policies accessible at https://stripe.com/legal and Stripe's Global Privacy Policy at: https://stripe.com/privacy. We are not responsible for any error by, or other acts or omissions of, the Payment Processor. By choosing to use Paid Services, you agree to pay us, through the Payment Processor, all charges at the prices then in effect for any use of such Paid Services in accordance with the applicable payment terms, and you authorize us, through the Payment Processor, to charge your chosen payment provider (your "Payment Method"). We reserve the right to correct any errors or mistakes that the Payment Processor makes even if it has already requested or received payment. For additional information, please liaise with Stripe directly.

7.3 Authorization

By purchasing Paid Services, you authorize us and our payment processor to charge your chosen payment method for all applicable charges.

By purchasing a Paid Service, you expressly consent to the immediate provision of the digital content. You acknowledge that by consenting to immediate access, you lose your statutory 14-day right to cancel under the UK Consumer Contracts Regulations.

7.4 Recurring Billing and Auto-Renewal

If you purchase a subscription, it may automatically renew for successive periods unless you cancel before the renewal date. By purchasing a subscription, you authorize recurring charges until cancellation.

7.5 Cancellation

You may cancel your subscription through your account settings or by contacting us at [email protected]

Unless required by law, cancellations take effect at the end of the current billing period. Refunds are at our discretion. No refunds are provided for Moments used on Outputs that the user dislikes or that contain AI inaccuracies.

7.6 Promotions and Credits

If we offer promotional credits or promotional access to a Paid Service, such access is subject to the terms disclosed at sign-up and may be revoked or modified at our discretion.

7.6a Moment Packs

Purchased Moment Packs do not expire and remain in your account until used.

7.6b Subscription Credits

Subscription credits are granted at the start of each billing cycle and follow the lifecycle of your subscription. Unused subscription credits do not roll over unless otherwise stated.

7.6c Taxes and Fees

Applicable taxes, VAT, and fees are calculated at checkout via our payment processor and are shown before you confirm payment.

7.7 Billing Information

You must provide and maintain accurate, complete, and current billing information.

7.8 Immediate Supply of Digital Content and Services

Where applicable, by completing your purchase and requesting immediate access to digital content or digital services, you expressly consent to immediate performance and acknowledge that this may affect your statutory cancellation rights to the extent permitted by law.

We may change pricing prospectively. Where we display prices to consumers, we aim to present pricing information clearly and accurately, including mandatory fees, taxes, and charges where required by law.

8. Acceptable Use and Restrictions

You represent, warrant, and agree that you will not use or interact with the Services in any manner that:

(a) infringes, misappropriates, or violates any intellectual property, privacy, publicity, image, personality, contract, data protection, or other rights of any person or entity;

(b) violates any law, regulation, court order, or third-party obligation;

(c) is fraudulent, misleading, deceptive, defamatory, threatening, abusive, hateful, harassing, discriminatory, obscene, pornographic, exploitative, or otherwise objectionable;

(d) impersonates or falsely suggests affiliation with any living person, deceased person, rights holder, institution, or public body;

(e) requests, creates, publishes, distributes, or promotes deceptive synthetic media, including false endorsements, false quotations, false historical documents, or false evidence;

(f) requests or uses the Services to simulate, imitate, or clone a living individual or a minor;

(g) exploits, harms, or attempts to exploit or harm minors;

(h) includes malware, spyware, viruses, trojans, or other malicious code;

(i) attempts to gain unauthorized access to any account, network, or system;

(j) probes, scans, or tests the vulnerability of the Services or related systems without authorization;

(k) scrapes, crawls, spiders, copies, harvests, extracts, or collects content, data, Output, metadata, prompts, or other materials from the Services by automated means, including for training any AI system, without our prior written consent;

(l) reverse engineers, decompiles, disassembles, or attempts to discover the source code, model architecture, parameters, prompts, datasets, safety systems, or underlying ideas or algorithms of the Services, except where prohibited by law;

(m) bypasses or circumvents rate limits, access controls, paywalls, security measures, or restrictions in the Services;

(n) modifies, adapts, translates, creates derivative works from, republishes, sells, sublicenses, leases, or commercially exploits the Services except as expressly permitted by us;

(o) uses the Services or any Output to build, train, benchmark, improve, or support any competing product or service;

(p) submits content that you do not have the legal right to submit;

(q) uses the Services for unlawful surveillance, profiling, manipulation, disinformation, political deception, fraud, or identity theft;

(r) uses Output in a way that falsely represents it as a verbatim historical source, authentic archival material, or documentary evidence; or

(s) otherwise creates risk, liability, legal exposure, or reputational harm for LiveWisdom, users, depicted figures, rights holders, or the public.

A violation of this section is grounds for suspension or termination of your access.

9. User Submissions

Anything you upload, input, post, send, share, store, submit, or otherwise provide through the Services is your “User Submission.”

You are solely responsible for your User Submissions and for the consequences of submitting them. You represent and warrant that:

  • you own or have all rights necessary to submit the User Submissions;
  • your User Submissions do not infringe or violate any law or third-party rights;
  • your User Submissions are not misleading in a way that creates legal or reputational risk; and
  • your User Submissions comply with these Terms and all applicable law.

You may not submit User Submissions that:

  • infringe any copyright, trademark, trade secret, privacy, publicity, image, personality, moral, or other rights;
  • contain unlawful, hateful, violent, abusive, or sexually explicit content;
  • exploit minors;
  • include malicious code or harmful files;
  • contain confidential information you are not authorized to disclose; or
  • are intended to create deceptive or harmful synthetic media.

10. License to User Submissions

As between you and us, you retain ownership of your User Submissions. However, you grant LiveWisdom a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, translate, display, perform, distribute, and otherwise use your User Submissions solely as reasonably necessary to:

  • operate and provide the Services;
  • improve, maintain, and secure the Services;
  • develop and test features;
  • enforce these Terms and our policies;
  • comply with legal obligations; and
  • investigate misuse, abuse, fraud, or security incidents.

This license ends when your User Submissions are deleted from the Services, except to the extent:

  • retention is required for backup, security, audit, legal, or compliance purposes;
  • the content has been shared with others and they have not deleted it; or
  • the content has been incorporated into aggregated or de-identified analytics, safety, or product-improvement processes as permitted by law and our Privacy Policy.

If you send us feedback, ideas, suggestions, or feature requests, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

11. Intellectual Property

THE SERVICES, INCLUDING ALL SOFTWARE, INTERFACES, DESIGNS, FUNCTIONALITY, MODELS, PROMPTS, COMPILATIONS, CURATION, AUDIO, VISUAL ELEMENTS, TEXT, TRADEMARKS, SERVICE MARKS, LOGOS, AND ALL OTHER MATERIALS MADE AVAILABLE BY US (COLLECTIVELY, “LIVEWISDOM CONTENT”), ARE OWNED BY OR LICENSED TO LIVEWISDOM AND ARE PROTECTED BY INTELLECTUAL PROPERTY AND OTHER LAWS.

SUBJECT TO THESE TERMS, WE GRANT YOU A LIMITED, REVOCABLE, NON-EXCLUSIVE, NON-TRANSFERABLE, NON-SUBLICENSABLE LICENSE TO ACCESS AND USE THE SERVICES FOR PERMITTED PURPOSES.

EXCEPT AS EXPRESSLY ALLOWED BY THESE TERMS, YOU MAY NOT COPY, REPRODUCE, MODIFY, DISTRIBUTE, DISPLAY, PERFORM, PUBLISH, SELL, LICENSE, EXPLOIT, OR CREATE DERIVATIVE WORKS FROM ANY PART OF THE SERVICES OR LIVEWISDOM CONTENT.

SOME UNDERLYING HISTORICAL SOURCE MATERIALS MAY BE IN THE PUBLIC DOMAIN OR OTHERWISE NOT OWNED BY US. THAT DOES NOT GRANT YOU ANY RIGHTS IN THE PROPRIETARY EXPRESSION, IMPLEMENTATION, ARRANGEMENT, INTERFACE, PROMPTS, SIMULATION BEHAVIOR, VOICE PERFORMANCE, AUDIOVISUAL PRESENTATION, EDITORIAL CHOICES, OR OTHER PROTECTABLE ASPECTS OF THE SERVICES CREATED BY OR FOR LIVEWISDOM.

TRADEMARK OWNERSHIP: THE TRADEMARKS AND SERVICE MARKS PERTAINING TO LIVEWISDOM AND POTENTIALLY OTHER MARKS UTILIZED OR DISPLAYED THROUGH THE SERVICE MAY BE THE TRADEMARKS OF THEIR RESPECTIVE PROPRIETORS, WHO MAY OR MAY NOT ENDORSE, BE AFFILIATED WITH, OR CONNECTED TO LIVEWISDOM. NOTHING WITHIN THESE TERMS OF SERVICE OR THE SERVICE SHALL IMPLY, THROUGH IMPLICATION, ESTOPPEL, OR OTHERWISE, ANY ENTITLEMENT OR LICENSE TO USE ANY LIVEWISDOM TRADEMARKS PRESENTED ON THE SERVICE, WITHOUT OUR EXPLICIT PRIOR WRITTEN CONSENT. ALL GOODWILL DERIVED FROM THE UTILIZATION OF LIVEWISDOM TRADEMARKS ACCRUES TO OUR EXCLUSIVE ADVANTAGE.

You may not access or use the Service for the purpose of monitoring its availability, performance, functionality, or features, or for any competitive purpose, including building, benchmarking, training, improving, or marketing a competing product or service. Without LiveWisdom’s prior written consent, no Competitor may access or use the Service except solely for legitimate customer evaluation in the ordinary course. “Competitor” means any person or entity that offers a product or service that competes substantially with the Service in its core functionality. LiveWisdom may suspend or terminate access that violates this section.

12. Output

The Services may generate text, audio, visual, conversational, or other output in response to your prompts, inputs, and interactions (“Output”).

Subject to your compliance with these Terms and applicable law, and except as otherwise stated in Additional Terms, LiveWisdom grants you a limited, non-exclusive right to use Output made available to you through the Services for lawful purposes.

You may not use Output:

  • in a manner that violates these Terms or applicable law;
  • in a way that presents it as authentic historical evidence where it is not;
  • to falsely imply endorsement, affiliation, sponsorship, or authorization by any person or institution;
  • for deception, fraud, defamation, impersonation, or misinformation;
  • to simulate, clone, or impersonate living persons;
  • to train or improve competing AI models or services without our written permission.

Because machine learning systems generate results probabilistically, Output may be similar or identical for multiple users. Similarity of Output does not create any exclusive right in you and does not mean another user copied you.

We do not guarantee that any Output is accurate, complete, lawful, non-infringing, historically faithful, unbiased, or suitable for your purposes.

13. Content Discretion

We reserve the right, in our sole discretion, to limit, modify, disable, remove, refuse, or geo-restrict any historical figure avatar, model behavior, source material, User Submission, or Output if we believe that doing so is advisable for legal, ethical, safety, editorial, business, or reputational reasons, including where we believe the material may:

  • infringe intellectual property or related rights;
  • violate publicity, image, personality, privacy, moral, or related rights;
  • mislead users as to authenticity, sponsorship, or endorsement;
  • create material defamation, deception, or misinformation risk;
  • conflict with requests or objections from estates, rights holders, archives, museums, institutions, or partners; or
  • violate our policies or applicable law.

14. Copyright Complaints

LiveWisdom respects the intellectual property rights of others and expects the same from its users. LiveWisdom commits to duly investigating and addressing notices of alleged infringement, undertaking appropriate actions in accordance with the Digital Millennium Copyright Act ("DMCA") and other relevant intellectual property legislations concerning any supposed or actual infringement. Should you believe that your work has been replicated in a manner constituting copyright infringement, or your intellectual property rights have otherwise been infringed upon, you are urged to inform LiveWisdom of your infringement claim via email at [email protected] (Subject line: "DMCA Takedown Request") or postal mail at: LiveWisdom Ltd Woodbine Cottage, Harefield UB9 6LU, England, UK For a notification to be deemed valid, it must be constituted in written form and encompass the subsequent details:

  • A physical or digital signature of an individual empowered to represent the proprietor of the copyright interest;
  • A detailed identification and delineation of the copyrighted work which you allege has been violated;
  • A specification of the location within the Service where the purportedly infringing material is situated;
  • Your contact information, inclusive of address, telephone number, and electronic mail address;
  • An assertion by you, predicated on a bona fide belief, that the contested utilization of the material is not sanctioned by the copyright holder, their agent, or the statutes; and
  • An affirmation by you, asserting that the information presented in your notice is precise and that you are either the copyright holder or possess the authority to act on behalf of the copyright holder.

15. Third-Party Services and Links

The Services may contain links to third-party websites, tools, archives, APIs, payment processors, or other services that we do not control. We are not responsible for third-party services, their content, or their privacy and security practices.

Your use of third-party services is at your own risk and subject to the third party’s terms and policies.

16. Service Availability

We may modify, suspend, discontinue, or restrict all or any part of the Services at any time, with or without notice where permitted by law.

We may release products or features identified as beta, preview, experimental, or similar. Those features may be incomplete, unstable, changed, or discontinued at any time and may be subject to additional terms.

We are not obligated to maintain any particular feature, historical figure avatar, model capability, or archive integration.

17. Termination and Suspension

You may stop using the Services at any time and may delete your account through your account settings or by contacting us.

We may suspend, limit, or terminate your access to the Services at any time, with or without notice, if we believe:

  • you have violated these Terms;
  • you pose legal, security, fraud, abuse, or reputational risk;
  • your use creates risk to third parties or the public;
  • your payment fails; or
  • we are required or advised to do so by law, court order, regulator, or business necessity.

Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including provisions concerning ownership, licenses, payment obligations, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services, LiveWisdom Content, and all Output are provided on an “as is” and “as available” basis.

LiveWisdom and its affiliates, licensors, suppliers, contractors, and partners disclaim all warranties, express, implied, statutory, or otherwise, including any warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • title;
  • non-infringement;
  • accuracy;
  • availability;
  • reliability;
  • quiet enjoyment; and
  • that the Services will be uninterrupted, secure, or error-free.

19. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY SHALL ANY OF THE LIVEWISDOM PARTIES BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL, (B) ANY SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY, (C) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE AMOUNTS PAID AND/OR PAYABLE BY YOU TO LIVEWISDOM IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM, OR (D) ANY MATTER BEYOND OUR REASONABLE CONTROL.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF LIVEWISDOM FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE TOTAL AMOUNT PAID BY YOU TO LIVEWISDOM FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. £100 (OR LOCAL CURRENCY EQUIVALENT).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR FOR FRAUD OR FRAUDULENT MISREPRESENTATION

20. Indemnity

You agree to indemnify, defend, and hold harmless LiveWisdom and its affiliates, officers, directors, employees, contractors, licensors, partners, and agents from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • your use of the Services;
  • your User Submissions;
  • your use, publication, distribution, or commercialization of Output;
  • your violation of these Terms;
  • your violation of any law, regulation, or third-party rights, including intellectual property, image, publicity, privacy, defamation, or consumer protection rights; or
  • any dispute between you and a third party arising from your use of the Services.

We reserve the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us.

21. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of England and Wales, excluding conflict-of-laws rules.

The courts of England and Wales shall have jurisdiction over any dispute arising out of or relating to these Terms or the Services. If you are a consumer resident in Scotland or Northern Ireland, you may also have rights to bring proceedings in your local courts.

22. Disputes

22.1 Informal Complaints
If you have a complaint or dispute relating to the Services, please contact us first at [email protected] so that we can try to resolve the issue informally and in good faith.

22.2 Alternative Dispute Resolution
If we cannot resolve your complaint through our internal complaints process, we will provide information about an appropriate certified alternative dispute resolution body where required by law, and will state whether we agree to use that body.

22.3 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of England and Wales, without regard to conflict of laws principles.

22.4 Jurisdiction
The courts of England and Wales shall have jurisdiction over any dispute arising out of or relating to these Terms or the Services. If you are a consumer resident in Scotland or Northern Ireland, you may also have rights to bring proceedings in your local courts. If you are a consumer residing in the UK or European Union, you may also bring claims in the local courts of your country of residence.

23. Miscellaneous

You are responsible for any taxes, duties, levies, or governmental charges associated with your use of the Services, except taxes based on our net income.

Our failure to enforce any provision of these Terms is not a waiver.

If any provision of these Terms is held invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the rest of the Terms will remain in full force and effect.

These Terms, together with any incorporated policies and Additional Terms, constitute the entire agreement between you and LiveWisdom regarding the Services and supersede prior or contemporaneous understandings on that subject.

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction as part of a merger, acquisition, financing, reorganization, or sale of assets.

Nothing in these Terms creates an agency, partnership, joint venture, employment, fiduciary, or franchise relationship between you and LiveWisdom.

Except as expressly stated, these Terms do not confer any third-party beneficiary rights.
